ACKNOWLEDGMENT AND ACCEPTANCE OF SERVICE AGREEMENT

The StillwaterLocal.com Business Directory and Classified Ads Service ("StillwaterLocal.com Directory and Classifieds" or the "service"), was created by, and is solely controlled by Distinct Sports LLC. The directory and classified ads service is provided to you ("you" or "Applicant") under the terms and conditions of this StillwaterLocal.com Terms of Service Agreement (the "Agreement").

BY COMPLETING THE REGISTRATION FORM AND/OR BUSINESS DIRECTORY ENTRY FORM AND CLICKING THE "ACCEPT TERMS AND CONDITIONS" CHECKBOX, YOU REPRESENT AND WARRANT THAT YOU ARE 18 YEARS OF AGE OR OLDER, THAT YOU AGREE TO PROVIDE TRUE, ACCURATE, CURRENT AND COMPLETE INFORMATION AS PROMPTED BY THE ENTRY FORM, AND THAT YOU AGREE TO BE BOUND BY THIS AGREEMENT, IN THE CASE OF A COMPANY, YOU ARE AUTHORIZED TO ACT IN BEHALF OF THE COMPANY TO COMMIT TO THESE TERMS OF SERVICE.

StillwaterLocal.com Business Directory Entry Review is a fee-based service for review of your submitted directory entry by a staff editor within one (1) business day.  All entries must be acceptable according to the following guidelines:

• The entry must be for an existing business operation that is legitimate under all applicable laws.
• This business operation must operate within any of the following locations in Oklahoma: Stillwater, Perkins, Ripley, Glencoe, Morrison, Perry, Orlando, Mulhall, Langston, Coyle or the inter-lying rural areas.
• The Entry must not contain any material or links to material deemed vulgar such as the depiction of nudity or sex acts, hate speech, promoting drug use or promoting violence.
• The entry must not contain any false or misleading information.
• All aspects of the entry must be relevant to the business being promoted in the entry title and no additional or irrelevant goods or services may be included in the entry.
• The entry must not be a duplicate of any existing business directory listing.
  

StillwaterLocal.com, Distinct Sports LLC or its Owner are not liable for any delay or failure in performance under the Agreement resulting directly or indirectly from acts of God, terrorism, or other causes beyond their reasonable control.

All entries submitted to the StillwaterLocal.com Business Directory will be reviewed by a staff editor for inclusion in the directory for up to one year.  You will be advised by email whether or not the entry has been accepted for inclusion.  If the entry is declined for reasons other than containing material deemed to be vulgar, you will receive information regarding the reasons your entry cannot be listed.  You may submit changes to bring the entry to directory standards and request one reconsideration of the review within 2 weeks after the first review.  This request should be made via our feedback form.

StillwaterLocal.com will determine the best category, URL, title, keywords, and description for an accepted entry’s listing.  StillwaterLocal.com will retain ultimate control over the wording of the listing and placement within the directory. The submitter of the entry is entitled to edit his/her entry subject to these terms of service and the entry guidelines contained therein. All edits will be subject to review and failure to comply with these terms of service in an edit will result in loss of edit privileges and depending on the severity of the transgression we reserve the right to disable your account with StillwaterLocal.com entirely and without refund.

StillwaterLocal.com reserves the right to move the listing to another topic or subtopic and/or change elements of the listing at any time.

The current fee for an entry review is $25.00. This fee is non-refundable in whole or in part including, but not limited to, removal of the listing at the business entry owner's request.  Payment of this fee does not guarantee a listing.  The category, title, description, ranking, and features listed are at the discretion of the staff editor. For your own peace of mind, it is in our best interest to work with you and keep your listing, however, failure to meet our standards may result in denying your entry a listing in our directory and we are not obligated to refund the fees paid for the review of your listing.

All entries will be subject to an ANNUAL REVIEW whereupon your entry must be submitted for renewel along with the recurring $25 payment. If your entry still meets our guidelines it will be approved for up to 365 additional days of display in the business directory pending compliance with all other parts of these terms of service.

That your entry meets the requirements of the guidelines listed above and herein listed again as follows:

• The entry must be for an existing business operation that is legitimate under all applicable laws.
• This business operation must operate within any of the following locations in Oklahoma: Stillwater, Perkins, Ripley, Glencoe, Morrison, Perry, Orlando, Mulhall, Langston, Coyle or the inter-lying rural areas.
• The Entry must not contain any material or links to material deemed vulgar such as the depiction of nudity or sex acts, hate speech, promoting drug use or promoting violence.
• The entry must not contain any false or misleading information.
• All aspects of the entry must be relevant to the business being promoted in the entry title and no additional or irrelevant goods or services may be included in the entry.
• The entry must not be a duplicate of any existing business directory listing.

These guidelines represent the minimum requirements for a listing within StillwaterLocal.com.  Other criteria may be considered when reviewing an entry for a listing based on the discretion of the reviewing editor.

That nothing in this agreement obligates StillwaterLocal.com to list the submitted entry.

If you wish to discontinue your listing, you must send a notice of your intent to StillwaterLocal.com stating your wish to withdraw from the StillwaterLocal.com Business Directory.  At that time, your listing will be removed and no further charges will be incurred.  A cancellation of the listing will not obligate StillwaterLocal.com to refund any fees that have already been paid.

StillwaterLocal.com Classified Ad Entries are a free service with the exception of TOP, FEATURED, AND COMMERCIAL ad listings which cost $3, $3, and $6 respectively. Each ad has a duration of only 30 days. All entries, regardless of cost must meet the following standards:

• The resident or business creating the classified ad must live or operate within any of the following locations in Oklahoma: Stillwater, Perkins, Ripley, Glencoe, Morrison, Perry, Orlando, Mulhall, Langston, Coyle or the inter-lying rural areas.
• The Entry must not contain any material or links to material deemed vulgar such as the depiction of nudity or sex acts, hate speech, promoting drug use or promoting violence.
• The entry must not contain false or misleading information.
• All aspects of the entry must be relevant to the goods, services, or announcement being promoted in the ad entry title.
• Ad Entries may not be used as a means to disparage or harass any person, place, or idea.
• Ad Entries may not be posted more than once at a time and to no more than one category.

While free ads are currently published automatically and paid ads are not, both will be reviewed. If the reviewed ads do not meet the above standards they will be removed and any payment WILL NOT be refunded. Depending on the severity of the transgression we reserve the right to disable your account with StillwaterLocal.com entirely and without refund for any services nor liability of any kind relating to loss of the ad. We also reserve the right to re-categorize or otherwise edit any and all ads within the classifieds section.

Paid classified ad entries will be reviewed within one (1) business day. StillwaterLocal.com, Distinct Sports LLC or its Owner are not liable for any delay or failure in performance under the Agreement resulting directly or indirectly from acts of God, terrorism, or other causes beyond their reasonable control.

Privacy Policy

You also agree to our privacy policy as detailed further down the page below this agreement. 

It is your responsibility to provide accurate contact information (both email and physical address) and to ensure that any changes are reported to StillwaterLocal.com by editing your entry and/or your user profile.

THE SERVICE OF REVIEWING AND/OR APPROVING ENTRIES INTO BOTH THE BUSINESS DIRECTORY AND CLASSIFIED ADS SECTION ARE PROVIDED WITH REASONABLE SKILL AND CARE, BUT THIS SERVICE IS OTHERWISE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.  STILLWATERLOCAL.COM OR DISTINCT SPORTS LLC AND ITS OFFICERS SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES WHATSOEVER FOR ANY LOSS OF BUSINESS, PROFITS OR GOODWILL, LOSS OF USE OR DATA, INTERRUPTION OF BUSINESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT IN ANY WAY RESULT FROM ANY ASPECT OF THE SERVICE OR THE DIRECTORY, INCLUDING WITHOUT LIMITATION, YOUR USE OF OR INABILITY TO USE THE SERVICE OR THE ACCEPTANCE, REJECTION OR REMOVAL OF YOUR SUGGESTED ENTRY FROM THE DIRECTORY.

STILLWATERLOCAL.COM LIABILITY TO APPLICANT SHALL NOT, FOR ANY REASON, EXCEED THE AMOUNT ACTUALLY PAID BY APPLICANT TO STILLWATERLOCAL.COM OR ONE OF ITS AGENTS UNDER THIS AGREEMENT.

Participation
The Applicant understands unless otherwise expressly noted, any disputes between StillwaterLocal.com, or Distinct Sports LLC and You, under this Agreement, shall be finally resolved by a panel of three arbitrators in accordance with the rules then in effect of the American Arbitration Association and shall take place in Payne County in the State of Oklahoma. The award of any arbitration panel shall be final and binding on the parties.

Originality
The Applicant warrants and represents that all ideas, concepts, plans, creations, or work product submitted will be original and created by the Applicant, that publication and use thereof will not infringe any copyright or any other right of any person or entity or be otherwise unlawful. You agree to indemnify and hold harmless StillwaterLocal.com, Distinct Sports LLC, and it's owner from any claim, damage, loss, or expense (including reasonable attorney's fees) arising out of any foregoing warranties or representations.

Unenforceable
The Applicant understands If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including but not limited to, the warranty disclaimer and limitations of liability set forth above, then the invalid or unenforceable provision shall be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision, and the remainder of this Agreement shall remain in effect.

The Applicant understands a printed version of this Agreement shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

GENERAL INFORMATION
The Applicant understands the failure of StillwaterLocal.com, Distinct Sports LLC or it's Owner to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court or arbitration panel to be invalid or unenforceable, the parties nevertheless agree that the court or arbitration panel shall endeavor to give effect to the parties' intentions as reflected in this Agreement, and the other provisions of this Agreement shall remain in full force and effect. You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of StillwaterLocal.com or access to StillwaterLocal.com. The titles and subtitles used in this Agreement are used for convenience only and are not to be considered in construing or interpreting this Agreement.

These "Terms of Agreement" were created April 7th 2008.

Privacy Policy 

StillwaterLocal.com respects and protects your privacy when you are using our StillwaterLocal.com Business Directory and Classified Ads. No personally identifiable information is collected during registration other than the name you provide. This information is not shared with third parties, however other registered users of the website will be able to see the name that you have provided in addition to your chosen username.

StillwaterLocal.com and Cookies

Upon your first visit to StillwaterLocal.com, StillwaterLocal.com may send a "cookie" to your computer. Cookies are used by many sites. An Internet search on 'cookies' may provide you with more information. The intent of cookies is to identify your computer preferences and browsing patterns. StillwaterLocal.com will not disclose its cookies to third parties, except as required by a valid legal process such as a search warrant, subpoena, statute, or court order.

Most Internet browsers are set up to accept cookies. Although it is possible to reset your computer settings to inform you of cookies or to reject cookies, such actions may interfere with your ability to use StillwaterLocal.com. Some of our third party advertisers may send cookies to your computer after you click on their ads. This is only for statical data collection purposes.

What Information Do We Collect?

StillwaterLocal.com does not secretly collect information about you (such as your name, email address, etc.) except when you specifically and knowingly provide such information during the registration, directory entry submission, or classified ad submission process. This information is used to contact you if there is a need for a revision to these submissions. StillwaterLocal.com notes and saves information such as time of day, browser type, browser language, and IP address for each user. This information is used to verify our records and to provide more relevant services to users.

Links to Other Sites

The sites linked to by StillwaterLocal.com are developed by people over whom StillwaterLocal.com has no control. These other sites may send their own cookies to users, collect data, or solicit personal information. It is important that you preview their Privacy Policy and remove any cookies from your computer if you have any concerns.

StillwaterLocal.com Shared Information

StillwaterLocal.com may share non-personally identifiable information about you with advertisers, sponsors, and other third parties. This shared information is in the form of compiled data. For example, we may disclose keyword searches, or the amount of time spent in viewing StillwaterLocal.com. Please be aware, however, that we will release specific personal information about you if required to do so in order to comply with any valid legal process such as a search warrant, subpoena, statute, or court order.

E-mail Alert Feature

Upon registering and when submitting entries to our directory, users will start receiving e-mail delivered as confirmation of the progress of their entries or as notices of website updates or private messages sent via the website from other users. The emails for directory entry submissions are automatic, however, email notices for new private messages sent by other users can be turned off within the private message interface in your account.

Your consent and changes to the Privacy Policy

By using StillwaterLocal.com you consent to the collection and use of your information as outlined in this policy and to our Terms of Service Policy. StillwaterLocal.com may decide to change this Privacy Policy from time to time. Any such changes will be dated and posted on this page. The purpose of this policy is to make you an informed Internet user - fully aware of what information is collected and the uses for complied information.
